Securities Commission, (the "Blanket Order") it will move to semi-annual financial reporting ("SAR").

Palamina Completes Financings Totaling $3,050,000 as Part of Colt Silver Spin-Out Transaction
Toronto, Ontario--(Newsfile Corp. - April 20, 2026) - Palamina Corp. (TSXV: PA) (OTCQB: PLMNF) ("Palamina" or the "Company") has entered into an arrangement agreement dated April 17, 2026 (the "Arrangement Agreement") with Colt Silver Corp. ("Colt Silver") and Colt Finco Corp. ("Finco") to complete the previously announced spin-out transaction (the "Spin-Out Transaction") announced on February 27, 2026, whereby Palamina will distribute a certain number of common shares of Colt Silver to the shareholders of Palamina pursuant to a plan of arrangement under section 182 of the Business Corporations Act (Ontario) (the "Arrangement"). Colt Silver owns the Company's seven silver-copper projects in northeastern and southeastern Peru (the "Assets").
