Under the amended terms of the Offering, Beacon Securities Limited ("Beacon"), on behalf of a syndicate of underwriters including Stifel Canada, ATB Cormark Capital Markets, and Haywood Securities Inc. (together with Beacon, the "Underwriters"), has agreed to purchase, on a bought deal basis, an aggregate of 5,406,000 common shares (the "Treasury Shares") in the capital of the Company at a price of $3.70 per Treasury Share (the "Issue Price") for aggregate gross proceeds to the Company of $20,002,200 (the "Treasury Offering") and, from Hylton Karon and Susan Karon (the "Selling Shareholders"), an aggregate of 1,352,000 common shares of the Company (the "Secondary Shares" and, together with the Treasury Shares, the "Common Shares") at the Issue Price per Secondary Share for aggregate gross proceeds to the Selling Shareholders of $5,002,400 (the "Secondary Offering" and, together with the Treasury Offering, the "Offering") for combined aggregate gross proceeds of $25,004,600.

In addition, the Underwriters will have an option to purchase up to an additional 15% of the Common Shares issued under the Offering at the Issue Price per Common Share, for additional gross proceeds of up to $3,000,885, to cover over-allotments and for market stabilization purposes, such option being exercisable in whole or in part at any time until 30 days following the closing of the Offering (the "Overallotment Option").
